Introduction

These Terms & Conditions ("Terms") govern your access to and use of the TimeChart website, software, mobile applications and any biometric hardware or related services (together, the "Services") provided by TimeChart, a product of Al Hutaib Computers & Network Solutions LLC ("TimeChart", "we", "us" or "our"). By creating an account, placing an order or using the Services, you ("you", "the Customer") agree to these Terms. If you do not agree, please do not use the Services.

Definitions

• Services — the TimeChart attendance and workforce-management software, mobile and web apps, and the supply, installation and support of biometric attendance hardware.
• Customer — the business or individual that subscribes to or purchases the Services.
• Authorized Users — administrators, managers and employees the Customer permits to use the Services.
• End-User Data — data processed through the Services about the Customer's employees, including attendance, biometric and location data.

The services

TimeChart provides a cloud- or on-premises attendance platform that records work time; a mobile app with GPS and geofencing; biometric hardware (fingerprint, face and RFID) supply and installation; and integrations with payroll and HRMS systems. Features available to you depend on your chosen plan and configuration. We may add, change or discontinue features to improve the Services.

Accounts & eligibility

You must provide accurate account information and are responsible for all activity under your account and for keeping credentials secure. The Services are intended for business use by customers aged 18 or over. You must ensure your Authorized Users comply with these Terms.

Subscriptions & payment

Subscriptions are billed per the plan you select — including per-user or feature-based pricing where applicable. Fees are exclusive of VAT and other applicable taxes, which are added where required by UAE law. Unless stated otherwise, subscriptions renew for the same term until cancelled. Late or failed payment may result in suspension of the Services. Fees already paid are non-refundable except where required by law.

Hardware supply & warranty

Where you purchase biometric or access-control hardware, title passes on full payment and risk passes on delivery. Devices are covered by the manufacturer's warranty; we pass through and, where agreed, assist with warranty claims. Prices for hardware are subject to market rates and availability and are confirmed at the point of order. Installation timelines are estimates. Returns are accepted only for faulty items in line with the manufacturer's warranty and applicable UAE consumer law.

Acceptable use

You agree not to misuse the Services, including by: reverse-engineering or copying the software; reselling access without authorization; uploading unlawful, infringing or malicious content; attempting to breach security; or using the Services to monitor individuals unlawfully. We may suspend access for serious or repeated breaches.

Customer responsibilities

You are responsible for using the Services lawfully, including how you monitor your employees. In particular, before enrolling employees in biometric or GPS-based attendance, you must:

• Inform employees clearly about what data is collected and why;
• Obtain any consent required under applicable UAE law and provide a reasonable non-biometric alternative where appropriate;
• Use attendance, biometric and location data only for legitimate workforce-management purposes.

Data protection

We process personal data in accordance with our Privacy Policy and applicable UAE data-protection law, including Federal Decree-Law No. 45 of 2021 on the Protection of Personal Data. We apply appropriate technical and organizational security measures and process End-User Data on your documented instructions as your processor.

Intellectual property

All rights in the TimeChart software, apps, branding and content remain with TimeChart and its licensors. You receive a limited, non-exclusive, non-transferable right to use the Services during your subscription. You retain ownership of your own data; you grant us the rights needed to provide the Services.

Third-party integrations

The Services may connect to third-party products (for example payroll, HRMS or ERP systems) and biometric hardware from third-party manufacturers. We are not responsible for third-party products, and your use of them is governed by their own terms.

Availability & support

We aim to keep the Services available and provide support during business hours, six days a week. We may carry out maintenance, occasionally with limited notice. We do not warrant uninterrupted or error-free operation.

Confidentiality

Each party will protect the other's confidential information and use it only to perform under these Terms, except where disclosure is required by law.

Warranties & disclaimers

The Services are provided "as is" and "as available". To the maximum extent permitted by law, we disclaim implied warranties of merchantability, fitness for a particular purpose and non-infringement. You are responsible for verifying that the Services meet your requirements.

Limitation of liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental or consequential losses, or loss of profit, data or business. Our total liability arising out of or relating to the Services is limited to the fees you paid to us in the twelve (12) months before the event giving rise to the claim. Nothing limits liability that cannot be limited under UAE law.

Indemnity

You agree to indemnify TimeChart against claims arising from your unlawful use of the Services or your failure to obtain the employee notices or consents described in these Terms.

Term & termination

These Terms apply while you use the Services. Either party may terminate for material breach that is not remedied within a reasonable period. On termination, your right to use the Services ends. You may export your data before termination; after a reasonable retention window we will delete or anonymize End-User Data unless the law requires otherwise.

Changes

We may update these Terms from time to time. Material changes will be notified through the Services or by email. Continued use after changes take effect constitutes acceptance.

Force majeure

Neither party is liable for delays or failures caused by events beyond its reasonable control, including outages, acts of government, or natural events.

Governing law

These Terms are governed by the laws of the United Arab Emirates as applied in the Emirate of Dubai. The courts of Dubai have jurisdiction, subject to any applicable free-zone rules.
